2017 BRISCA SECURITISATION

On 16 June 2017, the Carige Group carried out a securitisation by transferring, as a whole and without recourse, a bad loan portfolio to the special-purpose securitisation vehicle Brisca Securitisation S.r.l.

The transaction - named “Brisca Securitisation” - involves Banca Carige S.p.A., Banca del Monte di Lucca S.p.A. and Banca Cesare Ponti S.p.A. in their capacity as originators of transferred loans. 

In relation to the foregoing transaction, provided below are the lists of positions involved in the transfer. 

1.    List of the identification codes of the positions originating loans (including those originating from positions other than those reported below) to debtors who were attributed the “Gestione Sofferenze PB1” code, pursuant to the short-listing criteria (j) indicated in the notice of transfer published in the Official Journal of the Italian Republic Part II no. 74 of 24 June 2017.

2.    List of the identification codes of loans that were excluded from the transfer under the Brisca Securitisation transaction in order to comply with the retention requirement under (i) article 405, paragraph 1, letter c) of EU Regulation no. 575/2013 (as later amended, the “CRR”); (ii) article 51, paragraph 1, letter c) of Commission Delegated Regulation (EU) no. 231/2013 (as later amended and supplemented, the “AIMFD Regulation”) and (iii) article 254, paragraph 2, letter c) of Commission Delegated Regulation (EU) no. 35/2015 (as later amended and supplemented, the “Solvency II Regulation”) (the so called "Retained Portfolio").

3.    List of the identification codes of the positions originating loans to the debtors assigned under the Brisca Securitisation transaction. For each of the assigned debtors, the list contains at least one position from which loans are originated, without prejudice to the fact that - in line with provisions of the notice of transfer published in the Official Journal of the Italian Republic Part II no. 74 of 24 June 2017 - all loans to such assigned debtors are transferred, including those originating from other positions. Therefore, should at least one of the debtor’s positions be included in the list, all loans to such debtor (including those originating from other positions) shall be transferred.
