INTERNAL DEALING

Transactions and persons subject to current internal dealing regulations
The current regulations regarding internal dealing pursuant to the Consolidated Law on Finance and Consob Issuer Regulations are directly applicable to transactions involving the purchase, sale, subscription, and exchange of Carige shares or related financial instruments carried out by "relevant parties" and parties closely related to them. "Relevant parties" include shareholders owning at least 10% of Banca Carige's share capital, its Directors and standing Statutory Auditors, as well as additional executives holding positions identified in compliance with the relevant regulations (i.e. Chief Officers and other managers reporting directly to the CEO), as having regular access to privileged information and the power to make managerial decisions affecting the Bank's future development and prospects.
"Parties closely related to relevant parties" include:

1) their spouses, unless legally separated, dependent children, including those of the spouse and, if cohabiting for at least one year, parents and relatives by blood or affinity;

2) companies, partnerships and trusts in which a "relevant party" or one of the persons specified under item 1 above are jointly or severally in charge of the management function;

3) companies, directly or indirectly controlled by a "relevant party" or one of the persons specified under item 1 above;

4) partnerships whose economic interests are essentially equivalent to those of a "relevant party" or one of the persons specified under item 1 above;

5) trusts whose beneficiary is the "relevant party" or one of the persons specified under item 1 above.

Disclosure threshold for transactions subject to current regulations
Internal dealing disclosure requirements do not apply to transactions, including those carried out by persons closely related to the "relevant parties", totalling less than EUR 5,000 by the end of the year. Following any disclosure under the terms above, any further transactions exceeding an additional 5,000 euros by the end of the year shall be subject to the disclosure obligation.

Transactions carried out as of 1 April 2006
In accordance with Consob recommendations, listed below are the transactions subject to the internal dealing regulations which were disclosed to the market by Banca Carige and carried out by the "relevant parties" and persons closely related to them as of 1 April 2006 (i.e. the effective date for the new internal dealing regulations following adoption of the EEC Market Abuse directive).
